Terms of Service

Welcome to FitSynQ. These Terms of Service ("Terms") govern your access to and use of our gym management platform, including our website, applications, and related services (collectively, the "Services"). By using FitSynQ, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using FitSynQ, you confirm that you:

  • Are at least 18 years old or have parental/guardian consent
  • Have the legal capacity to enter into these Terms
  • Will comply with all applicable laws and regulations
  • Accept our Privacy Policy

If you do not agree to these Terms, you may not use our Services.

2. Description of Services

FitSynQ provides a cloud-based gym management platform that includes:

  • Admin Dashboard: Multi-location management, analytics, staff permissions, and business operations tools for gym owners and operators
  • Member App: A Progressive Web App (PWA) for gym members to check in, track sessions, manage subscriptions, and access fitness content
  • Check-in Kiosk: QR code-based check-in system for seamless member registration and attendance tracking

3. User Accounts

3.1 Account Creation

To use certain features of FitSynQ, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized access

3.2 Account Types

FitSynQ offers different account types with varying permissions:

  • Organization Owners: Full administrative access to all locations and features
  • Branch Managers: Management access to specific locations
  • Staff: Operational access as defined by administrators
  • Members: Access to member-facing features and personal data

3.3 Account Responsibility

You are responsible for all activities that occur under your account. FitSynQ is not liable for any loss or damage arising from unauthorized use of your account.

4. Subscription and Payments

4.1 Pricing

FitSynQ offers subscription plans based on the number of locations and active members. Current pricing is available upon request from our sales team. We reserve the right to modify pricing with 30 days' notice.

4.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • Payment is due upon invoice unless otherwise agreed
  • All fees are non-refundable except as required by law
  • Late payments may result in service suspension

4.3 Free Trial

We may offer free trial periods. At the end of the trial, your account will be converted to a paid subscription unless you cancel before the trial ends.

5. Acceptable Use

You agree NOT to:

  • Use the Services for any illegal or unauthorized purpose
  • Violate any laws, regulations, or third-party rights
  • Transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Services or servers
  • Scrape, harvest, or collect data without authorization
  • Impersonate any person or entity
  • Use the Services to send spam or unsolicited communications
  • Sublicense, resell, or redistribute the Services without permission

6. Data and Content

6.1 Your Data

You retain ownership of all data you submit to FitSynQ ("Your Data"). By using our Services, you grant us a license to use Your Data solely to provide and improve our Services.

6.2 Data Processing

For gym operators, you act as the data controller for your members' personal data. You are responsible for:

  • Obtaining necessary consents from your members
  • Ensuring lawful processing of member data
  • Responding to member data requests
  • Complying with applicable data protection laws

6.3 Data Backup

While we maintain regular backups, you are responsible for maintaining your own backups of critical data. We recommend exporting your data periodically.

7. Intellectual Property

7.1 Our Rights

FitSynQ and its licensors own all rights, title, and interest in the Services, including all software, designs, trademarks, and content. Nothing in these Terms grants you any right to use our trademarks or branding without permission.

7.2 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant us the right to use such feedback without compensation or attribution.

8. Third-Party Services

FitSynQ may integrate with third-party services (e.g., payment processors, analytics providers). Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

9. Service Availability

9.1 Uptime

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Services may be temporarily unavailable due to:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency repairs or updates
  • Circumstances beyond our control

9.2 Modifications

We may modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice for material changes that affect your use.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • FitSynQ is provided "as is" without warranties of any kind
  • We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim

11. Indemnification

You agree to indemnify and hold harmless FitSynQ, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Data or content you submit

12. Termination

12.1 By You

You may terminate your account at any time by contacting us. Termination does not entitle you to a refund of prepaid fees.

12.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay applicable fees
  • Engage in fraudulent or illegal activity
  • Pose a security risk to our Services or users

12.3 Effect of Termination

Upon termination:

  • Your right to use the Services immediately ceases
  • You may request export of Your Data within 30 days
  • We may delete Your Data after 90 days
  • Provisions that should survive termination will remain in effect

13. Dispute Resolution

Any disputes arising from these Terms shall be:

  • Governed by the laws of Ghana
  • First attempted to be resolved through good-faith negotiation
  • If unresolved, submitted to the courts of Ghana

14. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and FitSynQ
  • Severability: If any provision is found unenforceable, the remaining provisions continue in effect
  • Waiver: Failure to enforce any right does not waive that right
  • Assignment: You may not assign these Terms without our consent
  • Notices: We may send notices via email or through the Services

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Continued use of the Services after changes constitutes acceptance of the new Terms.
